Buy a Clean Canadian MSB and Start Operating in Weeks
Take over all the shares (100%) of a Canadian corporation that FINTRAC has already registered. It has never made a transaction, carries no liabilities and has its compliance programme in place, so there is no approval to wait for.
- No transactions on record
- Comes with its FINTRAC registration
- Compliance programme in place
Registering takes 3–6 months; buying a ready-made MSB, 3–6 weeks.
When partners, clients or investors are waiting for you to launch, each month of delay costs you real money. With a ready-made MSB, there is no approval to wait for at all.

What "clean company" really means
Buyers ask this more than anything else, and the answer is important. A clean company has never operated, so nothing comes with it that you did not choose.
No transactions on record
For supervisory purposes FINTRAC treats it as a new entity, so you begin with an entirely clean slate.
No concealed penalties
Before the transfer we check the company's compliance standing with FINTRAC: there are no fines, no open investigations and no regulatory flags.
No liabilities passed on to you
The company has no clients, contracts or obligations. Its balance sheet stands at zero, deliberately, and this is verified.
A guaranteed clean legal standing
At the point of transfer, Nimius Advisory guarantees the company's clean status, and our lawyers put each condition in writing.
How the deal works, step by step
The process is clear and structured, each step protects both sides, and the whole deal usually takes 3–6 weeks.
- Day 1
Consultation and assessment
We pin down what you will use the company for (FX, remittance, crypto) and talk through whether you need RPAA, banking and the White Label options. Then we send you a proposal built around you.
- Days 2–3
NDA, then the company's name
Once you have signed a Non-Disclosure Agreement, we give you the company's full name straight away, so you can look it up in Canada's public registries.
- Days 4–7
SPA and first payment (60%)
The Share Purchase Agreement is signed. When the first instalment arrives, we start changing the shareholder and director, which takes 1–3 business days.
- Up to 30 days
Notifying FINTRAC
Our lawyers notify FINTRAC of the change of control. It can take up to 30 days, but you can keep operating in the meantime, and you receive registration documents that confirm your status as UBO.
- Within 24h of step 4
Final payment and handover of access
Once the UBO documents are confirmed, you pay the remaining 40%. Within 24 hours we hand over every corporate credential, the FINTRAC login, the domain and the complete document package.

Frequently asked questions
Will I need an office in Canada, or a Canadian director?
A physical office isn't needed: for FINTRAC, a registered virtual address is enough. Whether directors must be resident depends on the province. British Columbia sets no residency rule, while a federal corporation needs at least 25% of its directors to be resident.
Does the company keep its FINTRAC registration when it changes hands?
Yes, the MSB registration stays active. Once ownership has passed to you, FINTRAC is notified of the change of control. That is a notice, not a fresh registration, and your operations carry on without a break.
Will I need to register under the RPAA?
You must register with the Bank of Canada under the RPAA if your platform keeps client funds in e-wallets or balances (a PSP function). If you only move or exchange funds and never hold them, RPAA registration is not compulsory. We work this out with you at the consultation.
Can I serve crypto clients?
Yes. A Canadian MSB includes Virtual Currency Dealing: exchanging fiat for crypto and crypto for crypto, and holding or transferring it on clients' behalf. Canada sets no minimum capital for this activity.
What if I fail to file FINTRAC reports once I own the company?
Under Bill C-12, failing to comply can lead to Administrative Monetary Penalties (AMPs) of up to CAD 20,000,000 for each violation. Our support after the sale includes guidance on the compliance obligations you will have from then on.
