Acquire a Swiss Company with active SRO membership
Want a crypto licence in Switzerland? In practice, what you need is membership of an SRO, under FINMA. You take over 100% of a Swiss GmbH or AG that is already a member, with its share capital paid up, its AML/CFT programme in place and a clean record, ready to work with crypto, USDT, FX and payments.
- SRO membership with VQF, already active
- AML/CFT programme in place, ready to use
- Permitted to handle crypto, USDT and payments
A ready-made SRO company: 2–4 months. Registering from scratch: 4–6 months.
You don't bypass the regulator: the SRO still has to approve the change of control. The time you save comes from the difficult work being finished already, with the company's substance and AML/CFT programme in place and, often, its banking too.

What you get with the purchase
The purchase gives you 100% of a Swiss corporation that is already recognised as a financial intermediary and supervised by an SRO.
The company itself
A Swiss GmbH or AG, duly registered, that comes with all its corporate documents and paid-up share capital (CHF 20,000 for a GmbH).
Active SRO membership
The company belongs to an accredited SRO (VQF). Its membership covers crypto exchange, custody, FX, payments and remittance, under supervision recognised by FINMA.
AML/CFT compliance programme
AML/CFT policies, a risk assessment and an operational workflow, all written and ready to adapt to your team.
Local substance
An office registered in Switzerland and the local presence the SRO expects, with a signing director and an AML Officer arranged. All of it is set up and ready.
Help with the transfer of ownership
We handle the legal side of transferring the shares and of filing the change of control with the SRO, from start to finish.
Clean compliance record
Before the transfer, we confirm in writing that there are no fines, no investigations under way and no regulatory flags.
What a "clean company" really means
Buyers ask us this more than anything else, and for good reason. A clean company has never carried on any business, so nothing comes with it that you didn't choose.
For a regulated entity, "clean" means there is no adverse history for you to take on. We check every condition before the transfer.
No regulatory penalties
The company is in good standing with its SRO: there are no fines or disciplinary actions against it, and no FINMA or MROS matters are open.
No inherited liabilities
There are no clients, contracts or obligations. The balance sheet is clean by design, and we have verified it.
No AML red flags
Nothing on file points to suspicious activity or a compliance breach, so your supervisory record starts clean.
Confirmed in writing
At the moment of transfer, our lawyers confirm each of these conditions in writing.
How the deal works, stage by stage
The process is transparent and follows one rule: you sign only after the SRO has approved the change of control, and that sequence is what protects you. In most cases it takes 2–4 months from start to finish.
- Day 1
Consultation and qualification
We work out what you plan to do (crypto, FX, payments), what banking you need and which SRO suits you, then send you a proposal built around your case.
- Days 2–5
NDA and disclosure of the company
Once you have signed an NDA, we give you the company's full name and its standing with the SRO, and you can check both in the Swiss public registries.
- Weeks 1–2
Telling the SRO about the change of control
No sale is signed until we have informed the SRO of the planned change of control and sent it your profile. It is this step that keeps your investment safe.
- Weeks 2–8
SRO due diligence and approval
The SRO screens the new UBO and directors as fit and proper and holds an interview. You then get its written approval of the change of control.
- After approval
SPA, registry and handover
The Share Purchase Agreement is signed and we file the change with the Handelsregister. We inform the bank, which runs its own KYC, then hand over every corporate credential and the complete set of documents. Payments follow the milestones agreed in the SPA.

Frequently asked questions
Does SRO membership count as a "licence"?
Not in the traditional sense. It is membership of a Self-Regulatory Organisation under the AMLA, recognised by FINMA, which the market often calls a "Swiss crypto licence". With it you can act as a financial intermediary without holding a full FINMA banking licence.
Must the SRO approve the change of control?
Yes. Every new UBO and director goes through fit and proper screening. Before anything is signed, we notify the SRO and check your profile in advance, so nothing comes as a surprise.
Is a Swiss office and director required?
Yes, a minimum of substance is needed: an office in Switzerland (to begin with, a coworking desk is accepted), a signing director with a genuine connection to Switzerland, and an AML Officer. We arrange every part of this for you.
Are USDT and other stablecoins allowed?
Yes. SRO members may use USDT and similar stablecoins as a payment instrument, which sets them apart from the EU under MiCA.
Is it possible to take on EU clients?
Only through reverse solicitation, where the client comes to you. There is no MiCA passport for a Swiss SRO company, so marketing actively into the EU is not allowed. To work the EU market actively, you would need CASP/MiCA status or an EMI.
